Terms of Service

Please read these Terms of Service carefully before using the BidGig platform. By creating an account, posting a task, placing a bid, or otherwise accessing or using BidGig, you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Who We Are
BidGig Ltd. ("BidGig", "we", "our", or "us") is a corporation incorporated under the laws of Alberta, Canada. We operate an online marketplace at bidgig.ca and associated mobile applications (collectively, the "Platform") that connects individuals who need tasks completed ("Task Posters") with individuals who offer their skills and services ("Service Providers" or "Bidders").
BidGig acts solely as a marketplace facilitator. We are not a party to any agreement between Task Posters and Service Providers, and we do not provide, perform, or supervise any services listed on the Platform.
2. Eligibility
- You must be at least 18 years of age to create an account and use the Platform.
- If you are between 13 and 17 years of age, you may only use the Platform with the verifiable consent and active supervision of a parent or legal guardian who accepts these Terms on your behalf.
- You must be legally capable of entering into binding contracts under applicable law.
- You must not be subject to any sanctions, embargoes, or other legal prohibitions that would prevent you from using the Platform.
- You may only maintain one active account per person. Creating duplicate accounts to circumvent bans or restrictions is prohibited.
3. Account Registration & Security
To access most features of the Platform, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information to keep it accurate.
- Keep your password confidential and not share it with any third party.
- Notify us immediately at support@bidgig.ca if you suspect unauthorized access to your account.
- Accept responsibility for all activities that occur under your account.
BidGig reserves the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or are inactive for extended periods.
4. Description of the Platform
BidGig provides a technology platform that enables:
- Task Posters to publish tasks, review competitive bids, select Service Providers, and release payment upon satisfaction.
- Service Providers to discover tasks, submit bids or fixed-price applications, communicate with Task Posters, complete work, and receive payment.
- Escrow payment services through our third-party payment processor, Stripe, ensuring funds are secured before work begins and released only upon approval.
BidGig is a marketplace platform only. We do not employ, vet, supervise, direct, or control Service Providers. We make no representations regarding the quality, safety, legality, or accuracy of any task listing or bid. Users are solely responsible for evaluating each other before entering into agreements.
BidGig may modify, suspend, or discontinue any aspect of the Platform at any time, with reasonable notice where practicable.
5. Task Posting Rules
As a Task Poster, you agree to:
- Post only genuine tasks you intend to have completed.
- Provide accurate, complete, and non-misleading descriptions of the task, location, and expected deliverables.
- Not post tasks that are illegal, fraudulent, dangerous, harassing, or in violation of any applicable law or regulation.
- Fund the escrow account in full before a Service Provider begins work.
- Review completed work in good faith and approve payment promptly when work meets the agreed-upon scope.
- Not solicit Service Providers to transact outside the Platform to avoid fees.
BidGig reserves the right to remove any task listing that violates these Terms or that we determine, in our sole discretion, is inappropriate for the Platform.
6. Bidding & Service Provider Rules
As a Service Provider, you agree to:
- Submit bids only for tasks you are genuinely able and qualified to complete.
- Represent your qualifications, experience, and skills honestly and accurately.
- Complete accepted tasks to the agreed scope, quality, and timeline.
- Communicate professionally and promptly with Task Posters.
- Not submit bid amounts you do not intend to honor.
- Not solicit Task Posters to pay outside the Platform.
- Comply with all applicable laws, including licensing, insurance, and safety requirements relevant to the services you perform.
7. Payments, Fees & Escrow
7.1 Escrow & Payment Flow
When a Task Poster accepts a bid, they are required to fund an escrow account managed by our payment processor, Stripe, Inc. Funds held in escrow are released to the Service Provider only after the Task Poster explicitly approves the completed work, or after the applicable review period expires without a dispute.
7.2 Platform Fees
BidGig charges a service fee on transactions completed through the Platform. Current fee schedules are displayed during the checkout process and on your account settings page. BidGig reserves the right to modify its fee structure with 30 days' prior notice.
7.3 Taxes
Users are solely responsible for determining and remitting any applicable taxes (including GST/HST, income tax, or other levies) arising from transactions conducted on the Platform. BidGig may collect and remit applicable taxes where legally required to do so.
7.4 Refunds & Chargebacks
Once a Task Poster approves a payment and funds are released to a Service Provider, the transaction is final and non-refundable except as required by applicable law or as determined through BidGig's dispute resolution process. Initiating unauthorized chargebacks through your financial institution may result in account suspension and recovery of funds plus applicable penalties.
8. Work Completion & Approval
Upon notifying the Task Poster that work is complete, the Task Poster has a defined review window (displayed in the Platform interface) to:
- Approve the work and release escrow funds to the Service Provider.
- Request reasonable revisions within the agreed scope.
- Raise a formal dispute through the Platform's dispute resolution process.
If the Task Poster takes no action within the review window, the work will be deemed automatically approved and funds will be released to the Service Provider. Revision requests must be reasonable and within the original agreed scope of work.
9. Disputes
We encourage users to resolve disputes directly and in good faith. If a dispute cannot be resolved between the parties, either party may invoke BidGig's dispute resolution process through the Platform.
BidGig may, at its sole discretion, review evidence submitted by both parties and make a determination regarding the release of escrow funds. BidGig's determination is final for purposes of platform-held funds, but does not constitute a binding legal ruling or waive either party's legal rights.
For disputes not resolved through the Platform process, the parties agree to submit to binding arbitration administered by the ADR Institute of Canada, Inc. under its Arbitration Rules, seated in Calgary, Alberta. Nothing in this clause prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.
10. Ratings & Reviews
After task completion, both Task Posters and Service Providers may leave ratings and written reviews. By submitting a review, you agree that:
- Your review is based on your genuine, first-hand experience.
- Your review is honest, accurate, and not misleading.
- Your review does not contain defamatory, harassing, or unlawful content.
- You grant BidGig a perpetual, royalty-free, worldwide license to display, reproduce, and use your review on the Platform and in marketing materials.
BidGig reserves the right to remove reviews that violate these Terms, that we believe are fraudulent, or that are the subject of a valid legal request.
11. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful, fraudulent, or deceptive purpose.
- Harass, threaten, intimidate, or harm any other user.
- Post false, misleading, or defamatory content.
- Circumvent or attempt to circumvent the Platform's escrow and payment systems.
- Solicit or accept payment for Platform transactions outside of BidGig ("fee circumvention").
- Create fake accounts, post fake reviews, or engage in any form of identity fraud.
- Scrape, crawl, or otherwise extract data from the Platform without written permission.
- Introduce malware, viruses, or other malicious code to the Platform.
- Attempt to reverse-engineer, decompile, or disassemble any part of the Platform.
- Use the Platform to discriminate against users based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics under applicable law.
- Violate any applicable local, provincial, national, or international law or regulation.
12. Intellectual Property
All software, code, design, graphics, logos, trademarks, and content comprising the BidGig Platform are owned by or licensed to BidGig Ltd. and are protected by applicable intellectual property laws. You may not use our branding, trademarks, or proprietary content without our prior written consent.
You retain ownership of any content you submit to the Platform (task descriptions, photos, messages, etc.). By submitting content, you grant BidGig a non-exclusive, royalty-free, worldwide, sublicensable license to host, display, reproduce, and distribute your content solely for the purpose of operating and improving the Platform.

13. Third-Party Services
The Platform integrates with third-party services including:
- Stripe, Inc. — payment processing and escrow management. Your use of Stripe is subject to Stripe's Services Agreement.
- Google LLC — OAuth sign-in. Your use of Google Sign-In is subject to Google's Terms of Service.
- Amazon Web Services, Inc. (AWS) — cloud infrastructure and data storage.
BidGig is not responsible for the acts, omissions, or policies of third-party service providers.
14. Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
BidGig does not warrant that: (a) the Platform will be uninterrupted or error-free; (b) any task will be completed to the Task Poster's satisfaction; (c) Service Providers are qualified, licensed, or insured; or (d) any content on the Platform is accurate or reliable.
You use the Platform and engage with other users entirely at your own risk. BidGig strongly recommends that users conduct their own due diligence before entering into any transaction.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIDGIG LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL BIDGIG'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO BIDGIG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
16. Indemnification
You agree to defend, indemnify, and hold harmless BidGig Ltd. and its directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights, including intellectual property, privacy, or contract rights; or (d) any content you submit to the Platform.
17. Termination
BidGig may suspend or permanently terminate your account and access to the Platform at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users or BidGig, or for any other reason at our sole discretion.
You may delete your account at any time through your account settings or by contacting support@bidgig.ca. Deletion requests will be processed in accordance with our Privacy Policy.
Upon termination, all licenses granted to you under these Terms immediately terminate. Any outstanding escrow balances will be handled in accordance with our payment policies. Sections 10, 12, 14, 15, 16, 18, and 19 shall survive termination.
18. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to the arbitration clause in Section 9, you agree to submit to the exclusive jurisdiction of the courts located in Calgary, Alberta, Canada for the resolution of any dispute not subject to arbitration.
19. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email or prominent in-app notification. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those changes.
If you do not agree to any updated Terms, you must stop using the Platform and may delete your account.
20. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and any other policies incorporated herein, constitute the entire agreement between you and BidGig regarding the Platform.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: BidGig's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights or obligations under these Terms without BidGig's prior written consent. BidGig may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Language: These Terms are written in English. If translated, the English version shall govern in the event of any conflict.
